Who is entitled to vote at the Annual General Meeting?


Only common shareholders or their proxies are entitled to vote at the Annual General Meeting.




How does voting take place?


Votes are cast with voting slips, which are contained in a voting pad. Shareholders are given the pad and a pen in exchange for their admission tickets on arrival at the Congress Center Hamburg.

 

Usually, all items on the agenda are contained on a single voting slip. If you agree with all the points on the agenda, do not mark the slip. Only if you want to vote no to an item or abstain must you make a mark next to that item.

 

You can also make a single mark at the bottom of the slip (all TOP) to vote noto or abstain from all items on the agenda.

 

Contradictory marks invalidate the voting slip.

 

In special cases, the chairman of the meeting can change the voting procedure.

He will then explain this in the meeting.

 

The voting pad has slips for special votes. The chairman of the meeting will announce when these special slips are to be used.

 




Can I leave the AGM and then come back?


Shareholders can go in and out of the meeting as they please. However, when you go out, you must register at exit control so that your attendance is controlled. When you return to the meeting area, you must once again register at entrance control.




Can a shareholder appoint proxies for the AGM and give them authorisation and instructions beforehand?


Shareholders who do not want to attend the AGM can issue authorisations and instructions to proxies. If the your depository bank offers to exercise your voting right and you want to take advantage of this, return the completed form and instruct your bank to vote on your behalf.

 

You can also appoint a trusted person, shareholders' group or proxy of Volkswagen AG to vote for you.

 

To do this, you must first apply for an admission ticket. Complete the authorisation form on the back of the ticket, and send it to your proxy.

 

If you authorise the proxies of Volkswagen AG, send the admission ticket with the authorisation form completed, along with instructions, to the address below by 12.04.2007 at the latest:

You can change instructions to the company proxy at any time up to the end of the debate at the AGM via the Internet at hv.volkswagen.de. To do this, you need the information stated on the bottom section of the admission ticket. If you wish to make use of this option, you must tear the section off before sending the admission ticket to Volkswagen AG and then keep it safe. Can shareholders also transfer their right to vote at the AGM?


If you leave the meeting early but still want to exercise your right to vote, you can appoint another shareholder or the proxies nominated by Volkswagen AG to vote on your behalf.

 

To do this, you must fill in and sign an authorisation form (with instructions) in the voting pad and then submit this to the exit control desk at the entrance to the Congress Center Hamburg. If you wish your proxy to vote for different members in the supervisory board member elections, then you must also fill in the S5 voting card, sign it on the reverse and then submit this together with your authorisation form to the exit control desk.

 

 




Where can shareholders obtain attendance certificates for the tax office?


The reverse side of the voting pad is an attendance certificate, which can then be presented to the tax office. If you have to leave the AGM early, it first has to be torn out of the voting pad.
