How and where can shareholders apply to attend the AGM?

Volkswagen will begin sending shareholders invitations to the AGM along with the agenda via their depository banks on 19.03.2007. Shareholders can complete the enclosed form to register for the AGM and ask for admission tickets. The record date for shareholders is 29 March 2007. Registration must be received by 12.04.2007 at the latest.

What should shareholders who have not received invitations do?

Because Volkswagen AG shares are made out to the bearer, it sends the AGM documents via the depository banks only. Therefore, shareholders should contact their depository banks.

What should shareholders who have punctually applied to attend the AGM do if they do not receive their tickets?

Shareholders who apply on time but do not receive tickets will be directed to the special counter at the entrance of the meeting hall. Their application data will be checked, and replacement admission tickets (including the right to vote) will be authorised if necessary. If no application was received, the staff at the counter will check if the attendee can participate with a guest ticket (i.e. without the right to debate or vote).

Who can take part in the AGM?

The Annual General Meeting is primarily intended for shareholders who want to exercise their right to ask questions and to vote.

To be entitled to attend the AGM and exercise their voting rights, shareholders must be registered as such on 29.03.2007 and must have applied in writing (see § 126 b BGB) in German or English by 12.04.2007 at the latest.

Shareholders must also provide proof of their entitlement to attend the AGM and to vote. To do this, they must present a written certificate (see § 126 b BGB) in German or English of their ownership of shares to the applications unit via their depository institution. This must be presented together with the registration documents. The certificate of ownership must apply to 29.03.2007 (record date). (However, the deadline date for dividend claims is still the date of the AGM).
